As of 5.3.11 Helen Gavaghan is the executive director of Science, People and Politics Ltd and the company's co-equal director, Fred Pearce, is not, but he may assume whatever role he wants as director when he wants. The only stipulation on both directors is that the company remains dormant with respect to HMRC until such time as it has the capacity not to be dormant.
No contract has been entered into by either director on behalf of the company, though I (Helen Gavaghan) am seeking clarification as to whether it was thought a contract had been entered into with AD Broadbent and Co. or one was implied. This is a friendly exercise.
None of the three members of the company have taken out any kind of loan in the company's name nor have offered anything connected with the company as collateral. Though Helen Gavaghan transferred books to the company to cover a soft loan made by co-director Fred Pearce to the company. A loan which was canceled.
The shareholders continue their preparations to open a bank account and also plan an extraordinary general meeting to alter the company's articles of association.
In particular it is our intent to make clear the company is a publishing company, that it is considering altering the articles so that their is no time limit on when the shareholding may be settled. The proposal to go to the EGM is that handing a controlling shareholding in the company to others with expertise other than the expertise we have might be in the best interest of the company.
Helen Gavaghan and Fred Pearce are journalists, authors and editors. Adrian broadbent is an experienced non-chartered accountant.
