Updated information relevant to Science, Peole and Politics Ltd., Co.No. 05901911
which owns Science, People & Politics ISSN 1751-598X
I accept Helen Gavaghan's invitation to resume my role as MD of Science, People and Politics Ltd. (Co.No. 05901911).
Ms Gavaghan now steps down as acting managing director and resumes her role as Finance Director. I confirm her decision to invite AD Broadbent and Co. to be accountants to the company and to execute administrative tasks on its behalf on her instruction.
I thank Adrian Broadbent for his role in the company to date and look forward to reading next week the resignation letter he gave to Ms Gavaghan on 25.8.09.
I agree that the way is open for him to be, at a future date, either a non-executive director or a director of the company.
I understand that he would now have to be viewed as a shadow director of the company.
I request Helen Gavaghan as Finance Director of the company to assemble financial strategies for a range of optional business plans as soon a possible, and that she explore possible business relationships on behalf of the company.
These plans will be submited as soon as possible for private consideration by the company.
I confirm GavaghanCommunications as publisher of Science, People & Politics (ISSN 1751-598X), owned by Science, People and Politics Ltd (Co No 05901911).
I accept her invitation to be, as of 4.9.09, a member of the company, Science, People and Politics Ltd., Co.No. 05901911, registered in England and Wales.
I confirm that the company must be financially active, but minimally trading until it has greater capacity, but that it will buy those services that are essential to its maintenance, and that it will continue to file accounts with HMRC such as those which HMRC has confirmed in writing to Ms Gavaghan that it received on 25.8.09.
The relationship between Science, People and Politics Ltd. and GavaghanCommunications as publisher of the company's product remains to be resolved.
Once the company becomes actively trading it is unlikely that I will wish to remain as MD. I reserve my options.
I have accepted Ms Gavaghan's invitation to give me 50 shares at £1 each as soon as she can afford to buy them.
I confirm her view that the change of hands of shares for £1 each on 25.8.09 from Adrian Broadbent to me (Laurence Frederick Pearce) of two shares means that 400 shares must, in view of the press release of 10.8.09, now be viewed as allotted and that the registrar must be informed of these allotted shares within one month of 25.8.09.
