I notified the registrar 24.9.09 of the allocation of 400 ordinary shares priced £1.00 each. The shares were effectively
allotted on 25th August 2009 in view of the press release of 10.8.09.
The allottees are:
Helen Gavaghan - 300.
Fred Pearce - 50.
Adrian Broadbent - 50.
4 shares have so far changed hands.
587 shares remain to be allocated.
The company records on the premises of the registered address note the share numbers.
The shares at time of allottment were worth £1.00 each.
The current shareholding is, therefore: 310 - Helen Gavaghan; 53 shares - Fred Pearce; 50 shares - Adrian Broadbent.
The 400 shares that are called up and allotted are not paid up. Only 13 called up shares are fully paid up.
I now renounce for a period of one year all existing shareholders' rights of preemption. Nor for one year will I sell or transfer any of my shares. Adrian Broadbent forsees no circumstances in which he would not wish to renounce his existing shareholders' right of preemption. Mr Fred Pearce retains in full his existing shareholders' rights of preemption.
I remain Finance Director; Mr Pearce remains as Managing Director; and Mr Broadbent might at a future date either become a non-executive director or return as a director.
