Status of Company owning Science, People & Politics (ISSN:1751-598X)

The publisher of Science, People & Politics (ISSN:1751-598X), Helen Gavaghan, trading sometimes as Gavaghan Communications, would like to thank the Company Secretary of Science, People and Politics Ltd. for his willingness to dissolve the company if asked to do so by the publisher.

The Company Secretary has no moral or legal obligation to abide by the publisher's wishes, but has said he is willing to do so if the request is made and reasoning for the request is given to him. The deputy editor of the title - Fred Pearce - knows of the Company Secretary's willingness to dissolve the company if the publisher of the title, Helen Gavaghan, owned by the company asks him to do so.

The Company is dormant and non trading, but active. It has no bank account and has not traded.

I, the publisher, have no knowledge of whether the Company Secretary has yet filed the Company's first DCA, nor do I know whether or when he might intend to do so.

GavaghanCommunications transferred ownership of the title in good faith to the Company prior to Helen Gavaghan, trading sometimes as GavaghanCommunications, submitting a debtor's petition for bankruptcy to Halifax County Court in West Yorkshire on 8th November, 2006. The Court made a Banruptcy Order on the same day against Helen Gavaghan, trading sometimes as GavaghanCommunications. Please explore the site and press releases for background to this situation. The site in the view of the Official Receiver in his last communication on the subject has no value and the Insolvency Examiner dealing with the affairs of Helen Gavaghan in bankruptcy has said that the site may not be given by the publisher, Helen Gavaghan, who uses the site as a means of business communication, to the Company.

As for receipt of the title: the Company was not asked its view. The action was taken by the then sole director, Helen Gavaghan, on behalf of the publisher --- Helen Gavaghan.

As of today the majority shareholding in this company is held as part of her personal estate by the Official Receiver.

Science, People & Politics (ISSN:1751-598X) is a bimonthly eMagazine which became eligible for voluntary electronic deposit with the British Library on 9th September, 2005.
