On the instruction of the shareholders and in my capacity as a professional journalist and editor with 30 years experience internationally I have rewritten the articles of association for Science, People and Politics Ltd Co No 0590 1911. The new articles were submitted at the same time as the special resolution passed by the company's shareholders, and both were received and signed for by Companies House on 30th July, 2011.

That is, the special resolution and the articles were prepared and submitted to the registrar in line with the Companies Act 2006, an act read by and responded to by me, Helen Gavaghan, majority shareholder in the company. I have a BSc hons from The University of Leeds, post graduate research experience at The University of Manchester where, between 2002 and 2004, I worked part time on preparation of a transfer report from M.Phil to Ph.D. whilst conceptualising also a book to take the thesis to a wider audience. I am also an Alfred P Sloan Foundation Fellowship winner (New York 1990) with work published in New York, and I researched and wrote the first history of EUMETSAT, having won a pan European competitive tender in response to an invite to tender from the IGO.

The special resolution, which I prepared, is now a public document and may be bought for sterling one pound from Companies House.

I am looking forward to having enough money to hand all these issues over in future to a company lawyer, such as those at Blake Lapthorn, a firm where I am currently in dispute with their chairman, Mr Lloyd-Jones, even if he is not in dispute with me.

A proper evaluation of options for the future from this date and in a manner which could be safely implemented is, I have now decided, beyond my competence, though I could explore options for intelligent general legal instruction and understand deeply enough to make a proper evaluation of whether I ought to resign as the executive director.

In the meantime I would like to thank the staff at Companies House for drawing to my attention the need to prepare and file also a CCO4, which I would not have known, possibly because I have not read with close attention the PLC sections of the Companies Act, except with intent of protecting future developmental options. A copy of the CCO4 may also be bought from Companies House. Go to the CH Website, go to webcheck, input company name or number and follow links allowing you to follow the company. Money for buying these documents goes to Companies House not to Science, People and Politics Ltd.

The new articles are, in fact, published attached to the special resolution (2 for the price of 1!). Minor typo to this press release corrected within 36 hours. The company's documents may be inspected on the premises on written application giving valid reasons. The company's registers may give more insight than the public record. The fee charged by me, allowable by law, for access to (my home) where the record is kept, would be in line with the cost of my time. My understanding is that unless you are an enforcement agency, such as the police, your need would need to be valid in business and commercial terms, possibly also educationally.
